These Terms of Service ("Terms") govern your access to and use of the website at hsecai.com (the "Site"), operated by HSECai Software Inc. ("HSECai", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms govern your use of our public website only. Use of the HSECai platform or any subscribed services is governed by a separate written agreement (such as a Master Subscription Agreement or order form) between you and HSECai. Where that agreement conflicts with these Terms, that agreement controls for the services.
1. Acceptance of these Terms
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Eligibility
The Site is intended for business and professional use by individuals who are at least 16 years of age. By using the Site, you represent that you meet this requirement.
3. Permitted use and restrictions
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for lawful informational and business purposes. You agree not to:
- Use the Site in any way that violates applicable law or regulation;
- Attempt to gain unauthorised access to the Site, its servers, or any connected systems;
- Interfere with or disrupt the integrity, security, or performance of the Site;
- Introduce viruses, malware, or other harmful code;
- Scrape, harvest, or collect data from the Site by automated means without our prior written consent;
- Reproduce, duplicate, copy, sell, or exploit any part of the Site for commercial purposes without authorisation; or

4. Demo requests and submissions
When you submit a demo request or otherwise contact us through the Site, you agree to provide accurate and current information. We handle the personal information you submit in accordance with our Privacy Policy. We may contact you in response to your request, consistent with applicable anti-spam laws.
5. Intellectual property
The Site and all of its contents — including text, graphics, logos, the "HSECai" name and marks, design, software, and the arrangement of all of the foregoing — are owned by or licensed to HSECai Software Inc. and are protected by intellectual-property laws. Except for the limited licence granted above, no right, title, or interest in the Site is transferred to you. You may not use our trademarks without our prior written permission.
6. Third-party links and services
The Site may contain links to third-party websites or rely on third-party services (for example, our hosting and form-processing providers). We do not control and are not responsible for the content, policies, or practices of any third party. Links are provided for convenience and do not imply endorsement.
7. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
HSECai does not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on the Site is complete, accurate, or current. Information on the Site is provided for general informational purposes only and does not constitute legal, regulatory, compliance, safety, or professional advice. You should not rely on Site content as a substitute for professional judgement or applicable regulatory requirements.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HSECAI SOFTWARE INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Indemnification
You agree to indemnify and hold harmless HSECai Software Inc. and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Site or your violation of these Terms or applicable law.
10. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information.
11. Governing law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for the resolution of any dispute arising out of or relating to these Terms or the Site.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Changes take effect when posted. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
